Nextdoor Pixel Terms

These Nextdoor Pixel Terms (these " Pixel Terms") form a legally binding agreement between Nextdoor, Inc., and its Affiliates (" Nextdoor") and the entity agreeing to these Pixel Terms (the " Advertiser"). The term "Advertiser", as used herein, will apply to the entity whose Ads will be serviced by Nextdoor under these Pixel Terms and any Agency acting on its behalf. By using the Nextdoor Pixel, or by accepting these Pixel Terms through an online checkbox, Advertiser acknowledges and agrees to be bound by these Pixel Terms.

01. Nextdoor Pixel License and Restrictions on Use.

  1. The Nextdoor Pixel is Nextdoor’s proprietary code. By agreeing to these Pixel Terms, Nextdoor grants to Advertiser a non-exclusive, limited, non-transferable, revocable license to use the Nextdoor Pixel solely in connection with measuring Ads.
  2. Advertiser shall not reverse engineer, disassemble, or remove any proprietary notices from the Nextdoor Pixel.
  3. Advertiser shall only use the Nextdoor Pixel in compliance with these Pixel Terms and Applicable Data Protection Laws.
  4. Advertiser shall not provide the Nextdoor Pixel to any other entity without prior written permission from Nextdoor.
  5. Advertiser shall not use the Nextdoor Pixel to share Interaction Data about children under the age of thirteen, health information subject to HIPAA, or special categories of data deemed Prohibited Data.
  6. Where Applicable Data Protection Laws require User consent, Advertiser shall obtain the User’s consent before using the Nextdoor Pixel.
  7. Reports provided by Nextdoor shall only be used for internal business purposes by Advertiser.
  8. Nextdoor reserves the right to monitor and audit Advertiser’s compliance with these Pixel Terms.
  9. If Advertiser uses the Restricted Data Use (RDU) parameter, Advertiser will comply with the relevant terms for specified U.S. states.

02. Nextdoor Use of Interaction Data.

  1. Advertiser may use the Nextdoor Pixel to share Interaction Data with Nextdoor, which may then use such data to generate reports and optimize Ads.
  2. Nextdoor will not share Interaction Data with any third party except with Advertiser’s permission or as required by Applicable Data Protection Laws.
  3. Interaction Data that includes Personal Information shall be subject to the Data Processing Addendum for Nextdoor Ad Service.

03. Reports.

Nextdoor shall provide Reports only on an aggregated and anonymized basis, and not share them with third parties unless permitted by Advertiser.

04. Representations and Warranties.

Nextdoor may amend these Pixel Terms and will notify Advertiser of any material changes at least seven days prior.

06. Termination and Modification.

Nextdoor may modify, suspend, or terminate Advertiser’s access to the Nextdoor Pixel at any time.

07. Confidentiality.

Parties may enter into non-disclosure agreements if they decide to share confidential information.

08. Indemnity.

Advertiser agrees to indemnify Nextdoor against all claims arising from its use of the Nextdoor Pixel. Nextdoor agrees to indemnify Advertiser against losses from violation of third-party rights.

09. Disclaimers; Limitation of Liability.

Nextdoor provides the Pixel on an "AS IS" basis. Maximum liability limits are set to $100 USD.

10. General.

These Pixel Terms constitute the entire agreement between Parties concerning the Nextdoor Pixel, governed by California law. Any disputes shall be litigated in San Francisco, California.
