These Nextdoor Self-Service Terms (these " Self-Service Terms") form a legally binding contract between Nextdoor, Inc. and its Affiliates (" Nextdoor") and the entity agreeing to these Self-Service Terms (the " Advertiser").
1. Account Creation; Access
To use the Ads Self-Service as contemplated by these Self-Service Terms, Advertiser must create an Ads Self-Service account (an " Account"). Advertiser is responsible for all activity and communications that occur in or from its Account, including the actions of each individual and/or Agency with access to Advertiser’s Account.
2. Charges
a.
Unless otherwise agreed to in writing, Advertiser will pay all costs incurred in connection with the Ads Self-Service based on the applicable billing metric (collectively, the " Costs").
b.
If Costs are subject to taxes, fees, or charges, Nextdoor may charge Advertiser for those taxes, fees, and charges in addition to the Costs of the Campaign (collectively, the " Charges").
c.
To the maximum extent permitted by Applicable Law, Advertiser waives any claims related to Charges not disputed in writing within sixty (60) days after the applicable invoice.
d.
Projected numbers of reach or impressions are estimates only.
e.
Nextdoor may, in its sole discretion, issue advertising credit (the " Ad Credit").
3. Payment
a.
Advertiser will either be an " Invoiced Advertiser
or " Non-Invoiced Advertiser.
b.
Non-Invoiced Advertisers must submit their payment information in their Account for payment.
c.
Nextdoor may set a billing threshold for Advertiser.
d.
Advertiser is responsible for any additional fees resulting from the use of the payment card for payment.
e.
If Nextdoor approves Advertiser as an Invoiced Advertiser, Nextdoor will invoice Advertiser for all Charges.
f.
By purchasing a Campaign, Advertiser authorizes Nextdoor to obtain credit reports on Advertiser.
4. Late Payments
If Advertiser’s payment method fails, or an invoice becomes past due, Nextdoor may take steps to collect past due amounts.
5. Pausing and Cancellation
Advertiser may pause a Campaign at any time using the Ads Self-Service campaign management dashboard.
6. Refunds
Delivered Ads are non-refundable.
7. Arbitration Agreement; Governing Law; Jurisdiction Specific Provisions
a. United States
If Advertiser is in the United States, this section applies to Advertiser.
i. Governing Law, Jurisdiction, and Venue
These Self-Service Terms are to be governed by and interpreted under California law.
ii. Arbitration Agreement
Advertiser and Nextdoor agree to the arbitration and dispute resolution terms in this Section.
iii. Applicability
Any dispute or claim arising out of or relating to Advertiser’s access or use of Ads Self-Service shall be resolved by binding arbitration.
iv. Small Claims Court
In the event the amount in controversy for any claim or dispute is less than the then-current jurisdictional limit, either Advertiser or Nextdoor may bring an action in small claims court.
v. Emergency Equitable Relief
Either Advertiser or Nextdoor may seek a temporary restraining order or other temporary equitable relief.
vi. Claims Not Subject to Arbitration
Claims alleging defamation or infringement may be brought in court.
vii. Arbitration Rules and Forum
These Self-Service Terms evidence a transaction involving interstate commerce and the Federal Arbitration Act will govern the interpretation and enforcement of this Arbitration Agreement.
viii. Arbitration by NAM
The arbitration will be conducted by NAM, an established alternative dispute resolution provider.
ix. Authority of Arbitrator
The arbitrator shall have exclusive authority to determine the scope and enforceability of this Arbitration Agreement.
x. Waiver of Jury Trial
ADVERTISER AND NEXTDOOR HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY.
xi. Waiver of Class or Other Non-Individualized Relief
ALL CLAIMS AND DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS.
xii. Severability
If any part or parts of this Arbitration Agreement are found to be invalid or unenforceable, the remainder of the Arbitration Agreement shall continue in full force and effect.
xiii. Survival of Arbitration Agreement
This Arbitration Agreement will survive the termination of Advertiser’s relationship with Nextdoor.
xiv. Independent Agreement
This Arbitration Agreement governs all Self-Service Claims.
